Guess it all depends on the price at hand... Obviously we have better deals over here. It didn't make sense to stick with 939 here. My cpu was only single core and I literally got a AM2 cpu and mobo for 15% over what a new 939 would have cost. I didn't pay a ridiculous $300+ price tag for my upgrade. I spent $240(taxes included) total. I already had bought 1000Mhz DDR2 that works perfectly(overclocked). I blow away any 4600 939 mobo combination and edge other systems with similar ram. Tested with 3DMark, Sisoft, Everest and various other system test tools. At 1680x1050 with HL2 DM, I push on average 115 fps at full quality.

My only problem is, my XFi which seems to have a problem with an overclocked bus. lol. XFi = garbage anyhow. Biggest sound card mistake I ever made, should have stuck with onboard (less bloatware) audio.

Go Opteron instead.

There are still S939 Opteron dual-core CPU's to be had for quite reasonable amounts of money.

Opteron 165-185 are all dual cores, and all of those seem to have proven quite overclockable to boot. They also come with 1MB of cache per core. If all one needs to replace is the CPU, then an Opteron S939 chip is quite a compelling upgrade path until the rest of the rig becomes entirely obsolete too. The 185, which is 2.6 GHz, sells for just over $300 and at least one guy on newegg claims to have clocked that sucker to 3.2 GHz.

Should be a great way for a lot of people to stave off that inevitable-seeming upgrade to Core 2 Duo.
